Terms governing our professional services, project deliverables, and client engagements.

1. Scope of Services

69dynamics provides the following professional services, each governed by a project-specific agreement or accepted quotation:

All engagements begin with a formal proposal or quotation document that outlines:

Work commences only upon written acceptance of the proposal (email, WhatsApp confirmation, or signed agreement) and receipt of the initial payment. Verbal agreements are not considered binding.

3. Payment Terms

3.1 Website Projects

50% advance payment before project kickoff. Remaining 50% upon delivery and before final deployment to production.

3.2 Quantum Bundle & Recurring Services

Monthly payment of the agreed retainer amount, due within the first 5 business days of each billing cycle. First month's payment collected in advance. Service may be paused if payment is overdue by more than 10 days.

3.3 Marketing & Content Retainers

Monthly payment due within the first 5 business days of each billing cycle. Ad spend budgets are separate from service fees and must be funded by the client directly or in advance. Content deliverables are produced upon receipt of payment.

3.4 Video / Design / Branding Projects

30% advance payment before production or design work begins. 70% upon delivery of final assets.

3.5 Custom / Enterprise Projects

Milestone-based payment schedule as defined in the project proposal. Typically a 30-40-30 split across project phases (kickoff, mid-delivery, final delivery).

3.6 Accepted Payment Methods

UPI (GPay, PhonePe, Paytm), bank transfer (NEFT/IMPS), Razorpay payment links, and other methods as agreed.

3.7 Late Payments

Payments overdue by more than 7 days may result in project work being paused until settlement. We reserve the right to charge a late fee of 1.5% per month on overdue amounts. Persistent non-payment may result in project termination as per §10.

3.8 Pricing Variations

Quoted prices may vary based on the client's geographic location, target market demographics, industry-specific complexity, and future scalability requirements. All pricing is determined on a per-project basis and confirmed in the accepted quotation or proposal. 69dynamics reserves the right to revise standard pricing at any time; however, prices agreed upon in an accepted proposal remain fixed for the duration of that engagement.

4. Revisions & Changes

Each project includes a defined number of revision rounds as specified in the proposal (typically 2–3 rounds). Each revision round includes reasonable modifications within the agreed scope.

Additional revisions beyond the included rounds will be billed at our standard hourly rate or a pre-agreed fixed fee.

Significant scope changes (new features, additional pages, major redesigns, new integrations) constitute a "change order" and will require a revised proposal with updated pricing and timeline. The client must accept the change order before work on the additional scope begins.

5. Delivery & Timelines

Timelines assume timely provision of required assets, content, feedback, and approvals from the client. Delays in client-side inputs will extend delivery timelines proportionally. The project delivery clock pauses during periods of client non-responsiveness (asset collection, feedback delays).

Upon full and final payment, the client receives full ownership of custom-built deliverables including website code, design files, and content created specifically for the project ("Work Product").

Third-party licenses (stock images, fonts, plugins, frameworks, APIs) remain subject to their respective licensing terms. The client is responsible for maintaining any required third-party subscriptions post-handover.

The Quantum platform itself (core software, admin panel, portal infrastructure) remains the intellectual property of 69dynamics. Clients receive a license to use the platform as part of their subscription. Custom configurations and client data remain the client's property.

8. Client Portal & Quantum Platform

Clients using the Client Portal and/or Quantum platform agree to:

Data entered into the Client Portal / Quantum platform remains the client's property. Upon service termination, clients may request an export of their data within 30 days. After 30 days, data may be permanently deleted.

9. SaaS Platform & White-Label Services

9.1 SaaS Subscription Terms

The 69dynamics SaaS platform is offered as a subscription service with the following plan tiers:

Subscriptions are billed monthly. Plan upgrades take effect immediately; downgrades take effect at the next billing cycle. Features and pricing are subject to change with 30 days notice.

9.2 Multi-Tenant Data Isolation

Each SaaS tenant operates in a logically isolated environment. Tenant data is separated through access controls, security rules, and encryption. Tenants may not access, modify, or interfere with other tenants' data. 69dynamics maintains strict operational controls to prevent cross-tenant data leakage.

9.3 White-Label Terms

White-label features (custom branding, logos, color schemes, support contact) are available on Enterprise and higher plans. The white-label license is:

Tenants may brand the platform as their own but must not misrepresent the platform as custom-built or claim ownership of the underlying technology.

9.4 API & Integration Usage

API access is provided on Enterprise and Custom plans. Tenants using the API agree to:

Tenants using the platform to manage advertising campaigns across Google Ads, Meta Ads, or other platforms agree to:

9.6 Data Encryption & Client Data

Sensitive client data (phone numbers, company details, industry information) is encrypted at rest using AES-256-GCM encryption. Email addresses are stored in plain text for lookup/matching purposes but are protected by Firebase Security Rules and access controls. Tenants are responsible for obtaining appropriate consent from their clients for data storage and processing.

9.7 SaaS Service Level

The SaaS platform targets 99.5% uptime (excluding scheduled maintenance windows). Scheduled maintenance will be communicated at least 24 hours in advance. 69dynamics is not responsible for downtime caused by third-party service providers (Google Cloud, Firebase, ad platforms).

9. Hosting & Maintenance

For Quantum Bundle clients: hosting, SSL, domain, and monthly maintenance are included in the subscription fee for the duration of the active subscription.

For one-time website projects: hosting is the client's responsibility unless a separate hosting/maintenance agreement is in place. We can recommend and assist with hosting setup. Post-launch maintenance, updates, and support beyond the included warranty period are available as a separate monthly retainer.

10. Cancellation & Refunds

Quantum Bundle / Recurring subscriptions: Either party may cancel with 30 days written notice. No refunds for the current billing period. Upon cancellation, the client's data will be available for export for 30 days.

Marketing retainers: Either party may cancel with 15 days notice before the next billing cycle. No refunds for the current billing period. Active ad campaigns will be paused and access transferred to the client.

11. Confidentiality

Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the engagement. This includes business strategies, customer data, financial information, trade secrets, login credentials, and internal processes. Confidentiality obligations survive the termination of the engagement for a period of 2 years.

12. Limitation of Liability

69dynamics' total liability for any claims arising from services provided shall not exceed the total amount paid by the client for the specific project or service in question. We are not liable for any indirect, consequential, incidental, or punitive damages, including but not limited to loss of revenue, data, or business opportunities.

We provide a 30-day warranty period post-launch for bug fixes and issues related to the delivered scope. This warranty covers functional defects in our delivered work and does not cover:

14. Training & Handover

All website and Quantum projects include up to 2 live training sessions covering platform navigation, content management, and basic operations. Training is conducted via Google Meet or phone call. Additional training sessions beyond the included sessions are available at our standard hourly rate.

We provide written documentation and access credentials as part of the handover process.

15. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 15 days. If unresolved, disputes shall be referred to mediation before pursuing legal action. All disputes are subject to the exclusive jurisdiction of courts in Tamil Nadu, India, and governed by the laws of India.

16. Termination

Either party may terminate the engagement with written notice if:

Upon termination: all outstanding payments become immediately due, the client receives all work completed to date (upon payment), access to platforms and portals may be suspended, and confidentiality obligations continue.

17. Severability

If any provision of these Service Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
